    The Web Site is provided by UPS and available only to entities and persons over the age of legal majority who can form legally binding agreement(s) under applicable law.If You do not qualify, You are not permitted to use the Web Site.

    These Terms of Use govern Your use of the Web Site. Your use of any software available on the Web Site will be governed by a separate agreement available at the time You download such software.

  3. Modifications

    UPS may revise and update these Terms of Use at any time. Your continued usage of the Web Site after any changes to these Terms of Use will mean You accept those changes. Any aspect of the Web Site may be changed, supplemented, deleted or updated without notice at the sole discretion of UPS.UPS may also change or impose fees for products and services provided through the Web Site at any time in its sole discretion. UPS may establish or change, at any time, general practices and limits concerning other UPS products and services in its sole discretion.

  4. UPS Privacy Policy

    The UPS Privacy Policy governs the use of information collected from or provided by You at the Web Site. With respect to any individual whose personal information is provided by You to UPS, You represent to UPS that You have obtained all necessary consents for the processing of such personal information contemplated by the Services You are using and by the UPS Privacy Policy, including the transfer of such data to the United States or other countries whose laws may not provide the same level of protection for the personal data as the laws of the country of origin of such individual.

  5. License and Ownership

    Any and all intellectual property rights ('Intellectual Property') associated with the Web Site and its contents (the 'Content') are the sole property of UPS, its affiliates or third parties. Elements of the Web Site are also protected by trade dress, trade secret, unfair competition, and other laws and may not be copied or imitated in whole or in part. All custom graphics, icons, and other items that appear on the Web Site are trademarks, service marks or trade dress ('Marks') of UPS, its affiliates or other entities that have granted UPS the right and license to use such Marks and may not be used or interfered with in any manner without the express written consent of UPS. Except as otherwise expressly authorized by these Terms of Use, You may not copy, reproduce, modify, lease, loan, sell, create derivative works from, upload, transmit, or distribute the Intellectual Property of the Web Site in any way without UPS's or the appropriate third party's prior written permission. Except as expressly provided herein, UPS does not grant to You any express or implied rights to UPS's or any third party's Intellectual Property.

    UPS grants You a limited, personal, nontransferable, nonsublicensable, revocable license to access and use the Web Site and Content only in the manner presented by UPS,. Except for this limited license, and as otherwise expressly provided herein, UPS does not convey any interest in or to the information or data available via the Web Site (the 'Information'), Content, Web Site or any other UPS property by permitting You to access the Web Site. Except to the extent required by law or as expressly provided herein, none of the Content and/or Information may be reverse-engineered, modified, reproduced, republished, translated into any language or computer language, re-transmitted in any form or by any means, resold or redistributed without the prior written consent of UPS. You may not make, sell, offer for sale, modify, reproduce, display, publicly perform, import, distribute, retransmit or otherwise use the Content in any way, unless expressly permitted to do so by UPS.

  6. Participation in Blogs, Public Forums and Messages

    You and other users of the Web Site may have the ability to post or submit messages or other materials (“Messages”) to blogs and other public forums available on the Web Site. Messages may be viewed by others and you have no expectation of privacy with respect to Messages you post. Messages or portions of Messages may be included in RSS feeds or made available in other formats. You grant UPS a perpetual, irrevocable, non-exclusive, world-wide, royalty free license to use the Messages in any form or media, known know or hereafter developed, which includes, without limitation, the right for UPS (and its third party designees) to use, copy, transmit, publish, distribute, publicly display, publicly perform, create derivative works of, host, modify and edit any Message you submit.

    You are solely responsible for the content of all materials you submit to the Web Site, including, without limitation, Messages. UPS does not endorse and has no control over the content of Messages. Messages do not necessarily reflect the opinions or policies of UPS. Messages submitted by UPS employees to blogs or other public forums are submitted in their individual capacity and do not necessarily reflect the opinions or policies of UPS. UPS makes no warranties as to the content of Messages or the accuracy or reliability of any Message and accepts no responsibility in connection with or arising from Messages.

    UPS has the right, but not the obligation, to monitor Messages submitted to the Web Site. If UPS chooses, in its sole discretion, to monitor Messages, UPS reserves the right to edit, move or remove any Message it deems inappropriate or unacceptable for any reason at any time. UPS further reserves the right to prevent you from submitting Messages to the Web Site. You agree that UPS has no liability if it elects to prevent you from submitting Messages or otherwise edits or removes any Messages you submit.

  7. Restrictions on Use of the Web Site

    In addition to other restrictions set forth in these Terms of Use, You agree that:

    1. You shall not disguise the origin of information transmitted through the Web Site.
    2. You will not place false or misleading information on the Web Site.
    3. You will not use or access the Web Site in a manner not expressly permitted by UPS.
    4. You will not input or upload to the Web Site any information which contains viruses, Trojan horses, worms, time bombs or other computer programming routines that are intended to damage, interfere with, intercept or expropriate any system, the Web Site or Information or that infringes the Intellectual Property (defined above) rights of another.
    5. Certain areas of the Web Site are restricted to customers of UPS.
    6. You may not use or access the Web Site in any way that, in UPS's judgment, adversely affects the performance or function of the Web Site or interferes with the ability of authorized parties to access the Web Site.
    7. You may not frame or utilize framing techniques to enclose any portion or aspect of the Content or the Information, without the express written consent of UPS.
    8. You may not submit any Messages to the Web Site which violate the patent, copyright, trademark, trade secret or propriety rights, rights of publicity, rights of privacy, or any other rights of UPS or a third party.
    9. You may not submit any Messages that are unlawful, threatening, pornographic, profane, obscene, abusive, false or inaccurate, libelous, constitute an invasion of privacy or publicity, constitute or encourage a criminal offense, or would give rise to civil liability or otherwise violate state, national or international law.
    10. You may not use the Web Site to harass, 'stalk' or post insulting comments regarding any other person or submit any Messages that are abusive or discriminatory.
    11. You may not impersonate any person or entity or misrepresent your identity or association with any person or entity.
    12. You may not disguise the origin of any content posted to the Web Site.
    13. You may not imply or state that UPS endorses or is associated with any Message you submit.
    14. You may not solicit personal information, passwords and associated information from Members or use any data mining, robots, or similar data-gathering and extraction tools in connection with the Web Site.
    15. You may not post personally identifiable information about any other individual on the Web Site.
    16. You may not post Messages for the purposes of spamming. You may not collect or store personal data about other users.
    17. You may not use the Web Site for any commercial purpose, including posting Messages, images or other items of content that advertise any products or services, link to any businesses or otherwise contain commercial content or solicit contributions.
  8. Conduct on the Web Site

    UPS grants you a non-exclusive and non-transferable license to use certain images of the UPS Widget character (and related clothing and accessories thereto) to create your own customized UPS Widget character only for uploading to the Web Site. UPS owns, has, and maintains the exclusive right, title and interest in, including without limitation all copyright, trademark and other intellectual property rights, the UPS Widget character and Your modifications, derivatives or customizations thereof.

    UPS has the right to inspect,edit or approve Your customized UPS Widget characters and at UPS's sole discretion, may post such customized UPS Widget characters on the Web Site.

  9. Links
    1. Outbound Links. The Web Site may contain links to third-party Web Sites and resources (collectively, 'Linked Sites'). These Linked Sites are provided solely as a convenience to You and not as an endorsement by UPS of the content on such Linked Sites. UPS makes no representations or warranties regarding the correctness, accuracy, performance or quality of any content, software, service or application found at any Linked Site. UPS is not responsible for the availability of the Linked Sites or the content or activities of such sites. If You decide to access Linked Sites, You do so at Your own risk. In addition, Your use of Linked Sites is subject to any applicable policies and terms and conditions of use, including but not limited to, the Linked Site's privacy policy.
    2. Inbound Links. Linking to any page of the Web Site other than to http://www.widget.ups.com through a plain text link is strictly prohibited in the absence of a separate linking agreement with UPS. Any web site or other device that links to http://www.widget.ups.com or any page available therein is prohibited from
      1. replicating Content,
      2. using a browser or border environment around the Content,
      3. implying in any fashion that UPS or any of its affiliates are endorsing it or its products,
      4. misrepresenting any state of facts, including its relationship with UPS or any of its affiliates,
      5. presenting false information about UPS products or services, and
      6. using any logo or mark of UPS or any of its affiliates without express written permission from UPS.

  10. Submissions

    UPS does not accept ideas, concepts, or techniques for new services or products through the Web Site ('Comments'). If such Comments are received, You acknowledge that

    1. they will not be considered confidential or proprietary,
    2. UPS and its affiliates are under no obligation to keep such information confidential, and
    3. UPS will have an unrestricted, irrevocable, world-wide, royalty-free right to use, communicate, reproduce, publish, display, distribute, and exploit such Comments in any manner it chooses.
  11. Termination

    You agree that UPS, in its sole discretion, may terminate or suspend Your use of the Web Site, Information, or Content at any time and for any or no reason in its sole discretion, even if access and use continues to be allowed to others. Upon such suspension or termination, You must immediately

    1. discontinue use of the Web Site, and
    2. destroy any copies You have made of any portion of the Content. Accessing the Web Site, Information, or Content after such termination, suspension or discontinuation shall constitute an act of trespass. Further, You agree that UPS shall not be liable to You or any third party for any termination or suspension of Your access to the Web Site, Information, or Content.

  14. Compliance with Law Including Export Control

    You agree to use the Web Site in strict compliance with all applicable laws, rulings and regulations and in a fashion that does not, in the sole judgment of UPS, negatively reflect on the goodwill or reputation of UPS and shall take no actions which would cause UPS to be in violation of any laws, rulings or regulations applicable to UPS.

    UPS and the Web Site are based in the United States. The United States and certain other jurisdictions control the export of products and information. You agree to comply with all such applicable restrictions and not to export or re-export the Content or Information to countries or persons prohibited under the United States or other applicable export control laws or regulations. If You access and download the Content or Information, You represent that You are not in a country where such export is prohibited or are not a person or entity to which such export is prohibited.
